Turnify Terms of Use

These Terms of Use ("Terms") govern your access to and use of Turnify, a digital queue management, appointment scheduling, and customer flow management platform operated by Vnicom Solutions Limited ("Vnicom", "Turnify", "we", "our", or "us"), a company registered in Nigeria. By accessing or using Turnify, you agree to be bound by these Terms.

1. About Turnify

Turnify is a cloud-based Software-as-a-Service (SaaS) platform that enables organizations to:

  • Manage physical and virtual queues
  • Schedule appointments
  • Issue and track service tickets
  • Display queue information on digital screens
  • Notify customers of queue status
  • Generate operational reports and analytics
  • Integrate with third-party systems such as EMR, payment platforms, and government systems

2. Acceptance of Terms

By creating an account, accessing, or using Turnify, you confirm that:

  • You are at least 18 years old or have legal authority to act on behalf of an organization.
  • You have the authority to bind your organization to these Terms.
  • You agree to comply with all applicable laws and regulations.

If you do not agree with these Terms, you must not use Turnify.

3. User Accounts

To access certain features, you may be required to create an account.

You agree to:

  • Provide accurate and complete information.
  • Keep your login credentials secure.
  • Promptly update account information when it changes.
  • Notify us immediately of unauthorized account use.

You are responsible for all activities occurring under your account.

4. Subscription and Payment

4.1 Subscription Plans

Turnify may offer:

  • Monthly subscriptions
  • Annual subscriptions
  • Enterprise agreements
  • Custom licensing arrangements

4.2 Fees

Subscription fees are payable in advance and are non-refundable unless otherwise stated in writing.

4.3 Taxes

You are responsible for all applicable taxes, duties, levies, and government charges associated with your use of the Service.

4.4 Non-Payment

Failure to pay subscription fees may result in suspension or termination of access to Turnify.

5. Permitted Use

You may use Turnify solely for legitimate business, healthcare, educational, governmental, or customer-service purposes.

You agree not to:

  • Interfere with or disrupt the Service.
  • Attempt unauthorized access to any system or account.
  • Reverse engineer or copy the platform.
  • Upload malicious software or harmful code.
  • Use automated tools to extract data without authorization.

6. Customer Data

6.1 Ownership

You retain ownership of all data submitted to Turnify, including:

  • Customer information
  • Appointment records
  • Queue tickets
  • Reports
  • Uploaded documents

6.2 License

You grant Turnify a limited license to process and store your data solely for the purpose of providing the Service.

6.3 Responsibility

You are responsible for ensuring that:

  • You have lawful authority to collect and process customer data.
  • Data entered into Turnify is accurate.
  • Your use complies with applicable privacy laws.

7. Healthcare and Government Use

Turnify may be used by hospitals, clinics, government agencies, and other regulated entities.

Turnify is not:

  • A medical device
  • An Electronic Medical Record (EMR) system
  • A clinical decision-support system

Healthcare providers remain solely responsible for patient care, medical decisions, and compliance with applicable healthcare regulations.

8. Third-Party Integrations

Turnify may integrate with third-party services including:

  • Payment gateways
  • Electronic Medical Records (EMR)
  • SMS providers
  • Email providers
  • Government systems
  • Authentication providers

We are not responsible for the availability, security, or performance of third-party services.

9. Intellectual Property

Turnify, including its software, design, trademarks, logos, documentation, and content, is owned by Vnicom Solutions Limited and protected by applicable intellectual property laws.

You may not:

  • Copy or reproduce the platform.
  • Modify or create derivative works.
  • Remove proprietary notices.
  • Resell the Service without authorization.

10. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access.

The Service may be temporarily unavailable due to:

  • Maintenance
  • System upgrades
  • Network failures
  • Third-party outages
  • Force majeure events

11. Data Security

We implement commercially reasonable security measures to protect customer data.

However, no online service can guarantee absolute security. You acknowledge and accept the inherent risks associated with internet-based services.

12. Privacy

Our collection and use of personal information is governed by the Turnify Privacy Policy.

By using Turnify, you consent to the processing of your information as described in the Privacy Policy.

13. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of using the Service.

This obligation survives termination of these Terms.

14. Suspension and Termination

We may suspend or terminate your access if:

  • You violate these Terms.
  • You engage in fraudulent or illegal activity.
  • Your use threatens the security or operation of the Service.
  • Required subscription fees remain unpaid.

You may terminate your account at any time by providing written notice.

15. Disclaimer of Warranties

Turnify is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, Vnicom Solutions Limited disclaims all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted availability
  • Error-free operation

16. Limitation of Liability

To the maximum extent permitted by law, Vnicom Solutions Limited shall not be liable for:

  • Loss of profits
  • Loss of business opportunities
  • Loss of data
  • Indirect damages
  • Incidental damages
  • Consequential damages

Our total liability under these Terms shall not exceed the subscription fees paid by you during the twelve (12) months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify and hold harmless Vnicom Solutions Limited, its directors, employees, and affiliates from any claims, liabilities, damages, or expenses arising from:

  • Your use of the Service
  • Violation of these Terms
  • Violation of applicable laws
  • Claims arising from your customer data

18. Changes to the Service

We reserve the right to modify, improve, suspend, or discontinue any feature of Turnify at any time.

We will make reasonable efforts to notify customers of significant changes.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

21. Entire Agreement

These Terms, together with the Privacy Policy and any executed subscription agreement, constitute the entire agreement between you and Vnicom Solutions Limited regarding the use of Turnify and supersede all prior agreements and understandings.

By using Turnify, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
